1. Acceptance of Terms

By accessing or using Propositra PM ("the Service"), operated by Mercaturae LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Propositra PM is a cloud-based project management platform designed for small-to-medium-sized businesses. Features vary by subscription plan. We reserve the right to modify or discontinue features at any time with reasonable notice.

3. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials and all activities that occur under your account. Notify us immediately at info@propositra.com of any unauthorized use.

4. Subscriptions and Billing

• Paid plans are billed monthly or annually as selected at checkout.
• A 14-day free trial is available for new subscribers. No charge until the trial ends.
• You may cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods.
• Prices are subject to change with 30 days' notice.

5. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law; (b) transmit malicious code; (c) attempt to gain unauthorized access to any systems; (d) resell or redistribute the Service without written consent.

6. Data Ownership

You retain ownership of all data you input into the Service. You grant Mercaturae LLC a limited license to store and process your data solely for the purpose of providing the Service. We will never sell your data to third parties.

7. Intellectual Property

The Propositra PM software, design, and content are the exclusive property of Mercaturae LLC. You are granted a limited, non-transferable license to use the Service during your subscription term. You may not copy, modify, or reverse-engineer any part of the platform.

8. Limitation of Liability

To the maximum extent permitted by law, Mercaturae LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total aggregate liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant uninterrupted or error-free operation. We are not responsible for data loss resulting from circumstances beyond our reasonable control.

10. Termination

We may suspend or terminate your account for material breach of these Terms. Upon termination, your right to access the Service ceases. You may export your data within 30 days of termination.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
